Article 1 (Purpose)

These terms and conditions define the rights, obligations, and responsibilities of the company (hereinafter referred to as “the Company” or “Diosmio”) and the users regarding the use of the “Dio Platform (https://diowith.me)”, and the “Dio Studio Center (https://admin.diowith.me)” operated by Diosmio.

※ 「These terms and conditions shall apply mutatis mutandis to electronic commerce conducted through PC communication, wireless communication, etc., unless they contradict the nature of such transactions.」

Article 2 (Definitions)

The definitions of terms used in these terms and conditions are as follows:

• “Dio” refers to a virtual business establishment set up by Diosmio to enable users to trade goods and services using computers or other information and communication equipment. It also refers to the business entity operating Dio.
• “Service” refers to all services provided by the Company to Users, regardless of the device on which it is implemented (including PCs, TVs, mobile phones, and various wired and wireless devices).
• “User” refers to any individual who accesses the Company‘s services and uses them in accordance with these terms and conditions.
• “General Member” refers to an individual who has registered through the procedures specified in Article 4 of the Company‘s terms and conditions and has been granted permission to use the Service.
• “Studio Member” refers to a studio or a studio manager who has registered through the procedures specified in Article 4 of the Company‘s terms and conditions and has been granted permission to use the Service.
• “Dio Platform” or “Dio Platform Page” refers to Dio’s internet website (https://diowith.me) through which Users can access and use the Service online.
• “Dio Studio Center” or “Dio Studio Center Page” refers to the internet website (https://admin.diowith.me) where Studio Members can manage their studio-related information.

Article 3 (Posting, Amendment, and Interpretation of the Terms and Conditions)

• The Company shall post these terms and conditions, along with the company’s name, representative’s name, business address, phone number, email address, business registration number, and e-commerce registration number, on the initial service screen (homepage) of Dio so that Users can easily access this information. However, the contents of the terms and conditions can also be accessed through a linked screen.
• These terms and conditions shall apply to all Users who wish to use the Service. If the Company deems it necessary, it may send notifications via email to the email address provided during registration, and such notifications will be effective as long as the User is notified.
• Before agreeing to these terms and conditions, the Company shall provide a separate linked screen or pop-up screen for the User to confirm any important terms such as refund conditions and other matters that are essential for the User to understand.
• The Company may set specific terms and conditions (hereinafter referred to as “Individual Terms and Conditions”) applicable to certain services, and such Individual Terms and Conditions shall be posted on the Dio website. The website address of the Individual Terms and Conditions shall be stated in the relevant clause within this document.
• The Company may revise these terms and conditions to the extent that it does not violate the 「Regulation of Terms and Conditions Act」, 「Act on Promotion of Information and Communications Network Utilization and Information Protection, etc.」, and other relevant laws.
• If the Company amends these terms and conditions, it shall specify the effective date and reason for the amendment and notify Users at least seven days prior to the effective date through one or more of the following methods. However, if the amendments are disadvantageous to Users, a prior grace period of at least 30 days will be given for notification.

  • Modal window guidance upon accessing the Dio platform page
  • Other methods such as using the contact information provided by the User during membership registration
• If the Company notifies or announces the amended terms and conditions as per the above, and if the User does not expressly reject the amendments within a set period, it will be considered that the User has agreed to the amended terms and conditions.
• Agreeing to these terms and conditions means that the User agrees to regularly visit Dio to check for any changes to the terms and conditions. The Company is not responsible for any damages caused to the User due to unawareness of amended terms and conditions.
• If the User does not agree to the application of the amended terms and conditions, the Company cannot apply the amended terms and conditions, and in such cases, the User may be restricted from using the Service.
• Users who have objections regarding the amendments of these terms and conditions may terminate their membership. If the User does not withdraw their membership or does not raise any objections to the Company before the amended terms and conditions take effect, it will be considered as consent to the amended terms and conditions.
• Matters not stipulated in these terms and conditions or interpretations thereof shall be governed by the Individual Terms and Conditions, separate user agreements, and relevant laws or customary practices.

Article 4 (Membership Registration and User Information Changes)

• A person who wishes to register as a member of the Service shall fill in the membership information according to the form set by the Company and express their consent to these Terms and the “Privacy Policy (Consent to the Collection, Provision, and Use of Personal Information)“ to apply for membership.
• The Company shall register as a member those who have applied for membership in accordance with the preceding paragraph, unless any of the following cases apply:
  • If the applicant has previously lost membership status under these Terms and Conditions
  • If there is false information, missing entries, or errors in the registration details
  • If a child under the age of 14 has not obtained the consent of a legal representative (such as a parent)
  • If it is judged that registering as a member would significantly hinder the Company’s technology
  • If the approval is not possible due to the User’s fault or the application violates other specified requirements
• The Company may request real-name verification and identity verification through a professional agency depending on the membership type.
• Employees or instructors working at the business of a “Studio Member“ may acquire the status of “Studio Member“ when applying for membership in order to use the Company‘s Service.
• “Studio Members“ apply for membership according to the registration form of the “Dio Studio Center.“
• When a “Studio Member“ applies for membership, the Company may grant membership status after reviewing according to its own criteria.
• “General Members” and “Studio Members” may not transfer, lend, or use their membership status assigned by the Company for collateral or any similar purposes.
• The establishment of membership shall take effect when the Company’s acceptance is delivered to the User.
• If there is any change in the details registered at the time of membership registration, the User shall inform the Company of the changes through methods such as modifying member information within a reasonable period.
• The Company is not responsible for any disadvantages incurred by the User for failing to inform the Company of the changes in the preceding paragraph.

Article 5 (Membership Withdrawal and Loss of Membership, etc.)

• Members may request to withdraw their membership from the Company, and the Company shall process the withdrawal.
• If a member falls under any of the following reasons, the Company may restrict or suspend the membership:
  • If false information was registered during the membership application
  • If the member fails to pay any debts incurred in connection with the Company‘s Service by the due date
  • If the member interferes with another person’s use of the Company’s Service or uses another person’s information, thereby threatening the order of electronic commerce
  • If the member uses the Company’s Service to engage in illegal activities or acts that are prohibited by these Terms and Conditions or contrary to public order and morals
  • If the member interferes with the sound management and operation of the Company‘s services
    • If the member spreads false information without grounds, thereby damaging the reputation of the Company
    • If the member hinders smooth sales and operations of the Company by making unreasonable refund requests
    • If the member hinders business operations by verbally abusing, threatening, or sexually harassing the Company‘s employees
    • If the member habitually requests excessive compensation exceeding the Consumer Dispute Resolution Standards announced by the Korea Consumer Agency
    • If the member disrupts transaction order by repeatedly purchasing goods or services for resale purposes
• If the same conduct is repeated more than twice or the reason is not corrected within 30 days after the Company restricts or suspends the membership, the Company may revoke the membership.
• If the Company revokes the membership, it will deregister the member.

Article 6 (Membership Withdrawal and Loss of Membership, etc.)

• The Company shall strive to protect the personal information of users in accordance with the “Information and Communications Network Act” and other applicable laws and regulations. The protection and use of personal information shall be governed by the relevant laws and the Company’s Privacy Policy. However, the Company’s Privacy Policy does not apply to linked websites other than the Company’s official website.

Article 7 (Service Use and Management)

• The Company is not responsible for transactions made between “Studio Members” and “General Members.”
• The account-linked email address and password set by the “User” must be managed under the responsibility of the “User,” and the “User” must not allow a third party to use their ID and password. In case of loss, theft, or leakage of the password due to the intention or negligence of the “User,” the “Member” must immediately notify the Company of such fact and follow the Company’s instructions, if any.
• Upon receiving such notification from the “Studio Member” and a request to suspend the use of the account, the Company will take the necessary measures. However, the Company is not liable for accidents that occurred before the time of such notification if the incident was due to the “Studio Member’s” intention, negligence, or other reasons attributable to the “Studio Member.”

Article 8 (Notifications to Users)

• When the Company provides notifications to the “User,” the Company may use the email address that the “User” provided at the time of membership registration.
• For notifications intended for an unspecified number of “Users,” the Company may post them on the “Dio” website for at least 7 days in lieu of individual notifications.

Article 9 (Obligations of the “Company”)

• The “Company” shall not engage in acts prohibited by law or these Terms and Conditions, or against public order and morality. The “Company” shall do its utmost to continuously and stably provide the “Services” as stipulated in these Terms and Conditions.
• The “Company” shall comply with its “Privacy Policy” (https://www.diowith.me/ko/all/privacy-policy) in relation to the collection and use of “Users‘“ personal information.
• If the “Company” acknowledges that the opinions or complaints raised by “Users” through the prescribed procedures are legitimate, it shall follow the appropriate procedures to address them. If the handling of such issues requires a certain period of time, the Company shall notify the member of the reason and the expected timeline for resolution.
• The results of handling the issues raised in the preceding paragraph shall be delivered via email or other means.

Article 10 (Obligations of the “User”)

The “User” shall not engage in the following activities:

• Registering false information during application or modification
• Misappropriating others’ information
• Altering information posted by the “Company”
• Transmitting or posting information (e.g., computer programs) other than those specified by the “Company”
• Infringing on the intellectual property rights, such as copyrights, of the “Company” or any third party
• Damaging the reputation or interfering with the business of the “Company” or any third party
• Disclosing or posting obscene or violent messages, images, audio, or other information that violates public order and morals on the “Dio Platform” or “Dio Studio Center”
• Using the “Services” for commercial purposes without the consent of the “Company”
• Engaging in other illegal or improper activities

Article 11 (Provision and Modification of Services)

• The “Company” provides the following services to the users, and some services may be restricted depending on the membership type:
  • Open services (all features and content within the site)
  • Other services that the “Company” develops additionally or provides to “Users” through partnerships with other companies
• The “Company” may limit the range of services available according to membership type and may designate specific usage times for individual services. In such cases, prior notice will be provided.
• If there is a significant reason such as a change in technical specifications, the “Company” may modify the contents of the services provided under the contract.
• In such cases, the modified contents will be posted on the initial screen of “Dio” before the change is made.

Article 12 (Service Suspension)

• The “Company” may temporarily suspend the provision of “Services” due to reasons such as maintenance, replacement, malfunction of computer or other information and communication facilities, or interruption of communication. In this case, the Company will notify the “User” as stipulated in Article 8. However, if prior notification is not possible due to unavoidable circumstances, post-notification may be given.
• The “Company” may conduct regular inspections if necessary for the provision of services, and the time for regular inspections will be announced on the service provision screen.
• If the “Company” is unable to provide “Services” due to reasons such as business category change, business discontinuation, or merger with other companies, the Company will notify the “Studio Member” as stipulated in Article 8.

Article 13 (Purchase Application and Consent to Provide Personal Information, etc.)

• The “User” applies for purchase on “Dio” through the following or a similar method, and the “Company” must provide the following information in an easily understandable manner when the user makes a purchase application.
  • Selection of items to purchase
  • Selection of payment method
  • Confirmation of terms, procedures for withdrawal of subscription, and details related to costs of services where the right of withdrawal is restricted
• If the “Company” needs to provide the buyer‘s personal information to a third party, the following information must be notified to the buyer and consent must be obtained. (The same applies if the consented items are changed.)
  • Recipient of personal information
  • Purpose of the recipient‘s use of personal information
  • Items of personal information provided
  • Retention and use period of the recipient‘s personal information
• If the “Company” entrusts the handling of the buyer‘s personal information to a third party, the following information must be notified and consent must be obtained from the buyer. (The same applies if the consented items are changed.) However, if it is necessary for the performance of a service provision contract and is related to improving the buyer’s convenience, notification through the privacy policy as stipulated by the “Act on Promotion of Information and Communications Network Utilization and Information Protection, etc.” may substitute the procedure for notification and consent.
  • Party entrusted with handling personal information
  • Details of the entrusted handling of personal information

Article 14 (Payment Methods)

The payment methods for services purchased from the “Company” can be made using any of the following available methods:

• Credit card payment
• Other electronic payment methods

Article 15 (Refunds)

If the “Company” is unable to deliver or provide the “Services” purchased by the user, it shall notify the user of the reason without delay and, if payment has been made in advance, take the necessary measures to refund or arrange for a refund within 5 business days from the date of payment.

Article 16 (Cancellation of Subscription, etc.)

• The cancellation of subscription by a “General Member” regarding a “Studio Member” follows the refund policy set by the “Studio Member” (https://www.diowith.me/ko/all/refund-policy).
• The cancellation of subscription by a “Studio Member” regarding the “Company” follows the refund policy of the “Dio Studio Center” (https://www.diowith.me/ko/all/admin-refund-policy).
• Users who have entered into a contract for the purchase of “Services” within the “Dio Platform” can cancel their subscription through the “Dio Platform” at least 1 day prior to the intended use date from the day they receive the confirmation notice.
• If a return or exchange is requested on the intended use date, the “General Member” must directly request the return or exchange from the “Studio Member” providing the “Service,” and the “Company” shall not be responsible for this process.

Article 17 (Ownership of Rights)

• Copyright and intellectual property rights related to the “Service” belong to the “Company.” However, this excludes the works created by the “Users.”

Article 18 (Limitation of Liability)

• The “User” and the “Company” shall not be liable for any breach of the terms due to conditions beyond their control, such as natural disasters, wars or terrorism, riots, labor issues, government actions, internet disruptions, and denial of service (DoS) attacks.
• The “Company” shall not be responsible for any inability to use the “Service” caused by the “User’s” fault.
• The “Company” is not responsible for the reliability, accuracy, or content of any information, materials, or facts posted by the “User” on the “Service.”
• The “Company” is exempt from liability in cases where transactions occur between “Users” or between a “User” and a third party via the “Service.”
• The “Company” shall not be liable for any damages related to the use of services provided for free.
• If separate damages occur to the “User” due to the fault of the “Company,” the “Company” shall not compensate an amount greater than what the “Studio Member” has paid in the 12 months prior to the incident.

Article 19 (Governing Law and Jurisdiction)

• Lawsuits regarding electronic commerce disputes between the “Company” and the “User” shall be exclusively under the jurisdiction of the Seoul Central District Court.
• Lawsuits filed between the “Company” and the “User” shall be governed by the laws of the Republic of Korea.
